Terms of Use

1.Acceptance of These Terms

These Terms of Use ("Terms") are an agreement between you and 9 Lanes Media, formerly Brightside Creative ("9 Lanes Media," "we," "us," or "our"), Los Angeles, California. They govern your access to and use of www.9lanesmedia.com and all related pages, forms, and downloadable materials (the "Site"). By accessing or using the Site, you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you use the Site on behalf of a school, club, business, or other organization, you represent that you are authorized to accept these Terms on its behalf.

2.Eligibility

The Site is intended for users who are at least 13 years old. Users under 18 should review these Terms with a parent or guardian. Emailing us to engage our Services, or entering a contest requires that you be at least 18, or the age of majority where you live, and able to form a binding contract. Additional eligibility requirements apply to contests (see Section 7).

3.Changes to the Site and These Terms

We may change, suspend, or discontinue any part of the Site at any time without notice. We may revise these Terms by posting an updated version with a new "Last updated" date. Changes take effect when posted and apply only to use after that date. Your continued use after a change means you accept the revised Terms. Changes will not apply retroactively to a contest already in progress or to a signed service agreement.

4.Our Services; Information on the Site

The Site describes the video, photo, sponsorship, social media, website consulting, and marketing plan services we offer (the "Services"). Site content is for general information only. It is not an offer, quote, or guarantee of availability, pricing, turnaround, or results. Paid Services are provided only under a separate written proposal, statement of work, or services agreement (a "Service Agreement"). If a Service Agreement conflicts with these Terms, the Service Agreement controls for that engagement. Consulting and planning Services consist of advice and written recommendations only and are not legal, tax, financial, or accounting advice.

5.Intellectual Property and License to Use the Site

Ownership. The Site and its content, including text, graphics, page design, logos, the names "9 Lanes Media" and "Community Coach Awards," photographs, video, and downloadable documents (together, "Content"), are owned by 9 Lanes Media, our clients, or our licensors. They are protected by United States and international copyright, trademark, and other laws. Content produced for a client may be owned by or exclusively licensed to that client under a Service Agreement.

Limited license. We grant you a limited, revocable, non-exclusive, non-transferable license to view the Site and print or download single copies of pages for your personal, non-commercial use or for evaluating our Services, provided you keep all copyright and other notices intact.

Restrictions. Except as expressly permitted, you may not copy, reproduce, republish, download, distribute, modify, create derivative works from, publicly display, or commercially exploit any Content; remove watermarks or notices; frame or mirror the Site; or use our names, logos, or trademarks without our prior written consent. Athletes, families, and schools who appear in our content and want a copy for personal use should contact us or the school or club that commissioned it.

6.Your Submissions

When you send us information or materials by email or mail ("Submissions"), you represent that: (a) the information is accurate and complete; (b) you have the right to provide it, including any information about another person, such as a nominee; (c) it does not infringe or violate anyone's intellectual property, privacy, publicity, or other rights; and (d) it is not defamatory, obscene, harassing, or otherwise unlawful.

You keep ownership of your Submissions. You grant us a non-exclusive, royalty-free license to use, store, and reproduce them only as needed to respond to you, provide requested Services, and run any contest you enter, as described in the contest's official rules. We will not publish your Submission or use it in advertising without your separate permission.

Unsolicited ideas. If you send unsolicited ideas, proposals, or creative concepts, you agree that we have no obligation to keep them confidential or to pay you for them. We may develop similar ideas independently.

7.Contests and Promotions

Contests and promotions we run, including the Community Coach Awards, are governed by their own official rules, which set eligibility, entry methods, judging, prizes, and other terms. If these Terms and a contest's official rules conflict, the official rules control for that contest. No purchase or payment is ever required to enter or win. We never charge a fee to claim a prize and never ask you to send Social Security numbers, bank details, or passwords by regular email. If you are unsure whether a message about a prize is genuine, write to hello@9lanesmedia.com before replying to it.

8.Acceptable Use

You agree not to, and not to help others to:

• use the Site in violation of any law or regulation, or for any fraudulent or harmful purpose;
• impersonate any person or organization, including 9 Lanes Media staff, or misrepresent your affiliation with any person or organization;
• submit false, misleading, plagiarized, or automated contest entries, or use bots, scripts, or third-party contest services;
• send spam, chain letters, or unsolicited commercial messages to our email addresses;
• upload or transmit malware or any code designed to disrupt, damage, or gain unauthorized access to the Site, our systems, or another user's device;
• scrape, crawl, harvest, or index the Site or its Content by automated means, including to train machine learning or artificial intelligence models, except for general-purpose search engines that follow our robots.txt directives;
• probe, scan, or test the vulnerability of the Site, or bypass any security or access control;
• interfere with or place an unreasonable load on the Site's infrastructure; or
• harass, threaten, or abuse any person, or collect personal information about athletes, coaches, or other users, especially minors.

9.Third-Party Links and Platforms

The Site may link to websites, video services, social media platforms, and other resources that we do not own or control, and our content may be published on them by us or our clients. We provide links only for convenience and do not endorse, and are not responsible for, the content, accuracy, policies, or practices of any third party. Your use of a third-party service is governed by that service's terms and privacy policy.

10.Copyright Complaints and Content Removal

Copyright. We respect intellectual property rights. If you believe material on the Site infringes your copyright, send a written notice to the address in Section 18 that includes: (a) your physical or electronic signature; (b) identification of the copyrighted work; (c) identification of the allegedly infringing material and its location on the Site; (d) your name, address, phone number, and email; (e) a statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or the law; and (f) a statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the owner's behalf. Knowingly false claims may result in liability under 17 U.S.C. § 512(f).

Photos and video of you or your child. To request removal of a specific photo or video that shows you or your minor child, follow the process in Section 6 of our Privacy Policy.

11.Disclaimer of Warranties

The Site and all Content are provided "as is" and "as available," without warranties of any kind, express or implied. To the fullest extent permitted by law, 9 Lanes Media disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Site will be uninterrupted, timely, secure, or error-free, that defects will be corrected, or that the Site or its servers are free of viruses or other harmful components. Any warranties for paid Services are stated only in the applicable Service Agreement.

12.Limitation of Liability

To the fullest extent permitted by law, 9 Lanes Media and its owners, employees, contractors, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to your use of, or inability to use, the Site or Content, whether based on warranty, contract, tort (including negligence), or any other legal theory, even if advised of the possibility of such damages. Our total liability for all claims relating to the Site will not exceed one hundred U.S. dollars (US $100).

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages, so some of the above may not apply to you. Nothing in these Terms limits liability for fraud, gross negligence, willful misconduct, or any other liability that cannot be limited under California law. These limits do not apply to paid Services, which are governed by the applicable Service Agreement.

13.Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless 9 Lanes Media and its owners, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or relating to (a) your Submissions, (b) your violation of these Terms, or (c) your violation of any law or the rights of any third party.

14.Suspension and Termination

We may suspend or terminate your access to the Site, reject or remove any Submission, or disqualify a contest entry, at any time and without notice, if we reasonably believe you have violated these Terms, the official rules, or the law. Sections 5, 6, and 9 through 19 survive termination.

15.Governing Law and Venue

These Terms and any dispute arising out of or relating to them or the Site are governed by the laws of the State of California, without regard to its conflict-of-law rules. You and 9 Lanes Media agree that any such dispute will be resolved exclusively in the state or federal courts located in Los Angeles County, California, and each party consents to the personal jurisdiction of those courts. Before filing a claim, each party agrees to try in good faith to resolve the dispute informally by written notice and discussion for at least 30 days. Either party may bring an individual action in small claims court for disputes within its jurisdiction.

16.Electronic Communications

By using the Site or emailing us, you consent to receive communications from us electronically. You agree that notices, agreements, and other communications we provide electronically satisfy any legal requirement that they be in writing. You may opt out of marketing email at any time as described in our Privacy Policy.

17.Notice to California Residents

Under California Civil Code § 1789.3, California users are entitled to the following consumer rights notice: the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs may be contacted in writing at 1625 North Market Blvd., Suite N 112, Sacramento, California 95834, or by telephone at (916) 445-1254 or (800) 952-5210. Use of the Site is free of charge.

19.General Terms

These Terms, together with the Privacy Policy and any applicable official rules or Service Agreement, are the entire agreement between you and us regarding the Site and supersede any prior understandings on that subject. If any provision is held invalid or unenforceable, it will be enforced to the maximum extent permissible, and the remaining provisions stay in full effect. Our failure to enforce any right or provision is not a waiver. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, or sale of assets. Nothing in these Terms creates any partnership, joint venture, employment, or agency relationship. Section headings are for convenience only and have no legal effect. The words "including" and "include" mean "including without limitation."
